The Terms of Service shall be governed by the laws of the State of New York without regard to its conflict of law provisions. You and Avanti Systems USA agree to submit to the personal and exclusive jurisdiction within the courts located in the USA, state of New York, county of Westchester.

Each party agrees to personal jurisdiction in any action brought in any court, Federal or State, within the County of Westchester, State of New York having subject matter jurisdiction over the matters arising under this Agreement. Any suit, action or proceeding arising out of or relating to this Agreement shall only be instituted in the County of Westchester, State of New York. Each party waives any objection which it may have now or hereafter to the laying of the venue of such action or proceeding and irrevocably submits to the jurisdiction of any such court in any such suit, action or proceeding. Clause 1: Amounts 30 days past due will be assessed a finance charge of 1.5% per month (Annual percentage rate of 18%); Clause 2: In the event, the Contractor is required to hire a collection agency or attorney to enforce collection of any past due amount. Client agrees to pay all costs, expenses and disbursements associated with collection including reasonable attorneys fees calculated at 1/3rd of the total amount due regardless of whether a suit is actually instituted or the actual amount paid for attorneys fees if an action is actually instituted, whichever is greater. A $20.00 fee for all returned checks will be charged to your account balance.
